Terms of Service

1. Eligibility and Account Registration

You must be at least 18 years old and legally capable of entering into binding agreements to use our Platform. By registering, you represent that all information provided is accurate, complete, and current.

• You are responsible for maintaining the confidentiality of your account credentials.
• You must not share your account or allow unauthorized access.
• You must promptly notify us of any unauthorized use of your account.
• We reserve the right to suspend or terminate accounts that violate these Terms.

2. Platform Overview

Share a Goal is a crowdfunding platform that connects campaign organizers ("Fundraisers") with supporters ("Donors"). We provide the technology and infrastructure to facilitate fundraising campaigns but do not guarantee the success of any campaign or the use of donated funds.

Share a Goal is not a financial institution, bank, or payment processor. We partner with third-party payment processors (including Stripe) to handle transactions securely.

3. Fundraiser Obligations

If you create a campaign on Share a Goal, you agree to:

• Provide truthful, accurate, and non-misleading information about your campaign, its purpose, and intended use of funds.
• Use all funds raised solely for the stated purpose of your campaign.
• Provide regular updates to your donors on campaign progress.
• Respond to reasonable inquiries from donors and Share a Goal support.
• Comply with all applicable local, national, and international laws related to fundraising.
• Complete identity verification (KYC) when required before funds are disbursed.
• Not use the Platform for personal enrichment disguised as charitable causes.

4. Donor Rights and Responsibilities

As a Donor on Share a Goal, you acknowledge:

• Donations are made voluntarily and are generally non-refundable once processed.
• Share a Goal does not guarantee that campaigns will achieve their goals or that funds will be used as described.
• You are responsible for conducting your own due diligence before donating.
• Donations made on Share a Goal are not tax-deductible unless the Fundraiser is a registered 501(c)(3) or equivalent tax-exempt organization.
• You may request a refund within 7 days of a donation if the campaign is found to violate our Terms, subject to our review process.

5. Fees and Payments

Share a Goal charges the following fees:

• Platform Fee: 5% of all funds raised, deducted at the time of withdrawal.
• Payment Processing: Standard payment processing fees (typically 2.9% + $0.30 per transaction) are charged by our payment processor and deducted from each donation.
• No Listing Fee: Creating a campaign is free. Fees are only charged on successfully raised funds.

Fee schedules may be updated with 30 days' notice. Continued use of the Platform after notice constitutes acceptance of updated fees.

6. Ambassador Program

Share a Goal offers an Ambassador program where users can earn commissions by promoting campaigns. Ambassadors agree to:

• Promote campaigns honestly and transparently.
• Disclose their affiliate relationship when sharing campaign links.
• Not engage in spam, misleading advertising, or deceptive practices.
• Commission rates are set by individual campaign owners and may vary.
• Share a Goal reserves the right to revoke ambassador status for violations.

7. Prohibited Content and Conduct

The following are strictly prohibited on Share a Goal:

• Fraudulent, misleading, or deceptive campaigns.
• Campaigns promoting illegal activities, violence, hate speech, or discrimination.
• Campaigns related to weapons, drugs, gambling, or adult content.
• Campaigns that infringe on intellectual property rights.
• Harassment, threats, or abuse directed at other users.
• Attempts to manipulate the platform through fake accounts, fake donations, or artificial engagement.
• Money laundering or terrorist financing activities.
• Any activity that violates applicable laws or regulations.

We reserve the right to remove content, suspend campaigns, and ban users who violate these prohibitions without prior notice.

8. Intellectual Property

All content, design, code, trademarks, and intellectual property associated with the Share a Goal platform are owned by Share a Goal and protected by applicable intellectual property laws.

By posting content on Share a Goal (campaign descriptions, images, updates), you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute such content in connection with operating and promoting the Platform. You retain ownership of your original content.

9. Dispute Resolution

If a dispute arises between a Donor and a Fundraiser, Share a Goal may, at its discretion, mediate the dispute. However, Share a Goal is not obligated to resolve disputes between users.

Any dispute between you and Share a Goal shall first be addressed through informal negotiation. If unresolved after 30 days, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, with proceedings held in the State of Delaware, USA. You waive any right to participate in a class action lawsuit.

10. Limitation of Liability

To the maximum extent permitted by law:

• Share a Goal is provided "as is" and "as available" without warranties of any kind.
• We do not guarantee uninterrupted, secure, or error-free operation of the Platform.
• We are not liable for any loss of funds, data, or opportunities arising from your use of the Platform.
• Our total liability to you shall not exceed the fees you have paid to Share a Goal in the 12 months preceding the claim.
• We are not responsible for the actions, omissions, or representations of Fundraisers or Donors.

11. Indemnification

You agree to indemnify and hold harmless Share a Goal, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of your use of the Platform, your campaign content, your violation of these Terms, or your infringement of any third-party rights.

12. Termination

We may suspend or terminate your account at any time for any reason, including but not limited to violation of these Terms. Upon termination:

• Your right to access the Platform ceases immediately.
• Any pending fund withdrawals may be held pending review.
• We may retain your data as required by law or for legitimate business purposes.
• Sections regarding liability, indemnification, and dispute resolution survive termination.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or prominent notice on the Platform at least 30 days before taking effect. Your continued use of the Platform after changes take effect constitutes acceptance of the modified Terms.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.
